General Terms and Conditions of Romotech GmbH<\/strong><\/h3>\n

\u00a7 1 Scope of Application<\/strong><\/p>\n

    \n
  1. These General Terms and Conditions (GTC) apply to all contracts, deliveries, services, and offers of Romotech GmbH, Goethestr. 4-6, 63477 Maintal (hereinafter referred to as \u201eContractor\u201c).<\/li>\n
  2. The General Terms and Conditions only apply to entrepreneurs, legal persons governed by public law, and special funds under public law within the meaning of \u00a7 310 of the German Civil Code (BGB).<\/li>\n
  3. Conflicting or deviating terms and conditions of the client are not recognized unless their validity has been expressly agreed upon in writing.<\/li>\n<\/ol>\n

    \u00a7 2 Scope of Services<\/strong><\/p>\n

      \n
    1. Romotech GmbH provides services in the following areas:\n
        \n
      • Plastic piping construction and pipeline installation,<\/li>\n
      • Container and plant assembly,<\/li>\n
      • Plastic welding,<\/li>\n
      • GFK laminating work,<\/li>\n
      • Repair and maintenance work,<\/li>\n
      • Construction site services,<\/li>\n
      • Fixture and assembly work,<\/li>\n
      • Delivery of merchandise and purchased materials.<\/li>\n<\/ul>\n<\/li>\n
      • The nature and scope of the service arise exclusively from the respective offer, order, or contract.<\/li>\n<\/ol>\n

        \u00a7 3 Offers and Conclusion of Contract<\/strong><\/p>\n

          \n
        1. Offers are non-binding and subject to change.<\/li>\n
        2. A contract is only concluded upon written order confirmation or commencement of performance.<\/li>\n
        3. Technical changes, adjustments, and minor deviations remain reserved, as far as these are reasonable for the client.<\/li>\n<\/ol>\n

          \u00a7 4 Prices and Payment Terms<\/strong><\/p>\n

            \n
          1. All prices are net, excluding the applicable statutory value-added tax.<\/li>\n
          2. Invoices are payable within 14 days of the invoice date, net.<\/li>\n
          3. In case of payment default, default interest will be charged at the statutory rate.<\/li>\n
          4. The contractor is entitled to request reasonable installment payments commensurate with the progress of the work.<\/li>\n<\/ol>\n

            \u00a7 5 Contractor's Duty to Cooperate<\/strong><\/p>\n

              \n
            1. The client ensures that the construction site is accessible, safe, and suitable for carrying out the work.<\/li>\n
            2. All necessary permits, approvals, and operating instructions must be provided by the client in a timely manner.<\/li>\n
            3. Delays due to the client's lack of cooperation shall not be borne by the contractor.<\/li>\n<\/ol>\n

              \u00a7 6 Deliveries of purchased materials<\/strong><\/p>\n

                \n
              1. If Romotech GmbH supplies materials or components from third-party manufacturers, delivery is exclusively subject to the warranty and guarantee conditions of the respective manufacturer.<\/li>\n
              2. For materials, products, or components manufactured or supplied by third parties, Romotech GmbH assumes no further warranty or guarantee.<\/li>\n
              3. The client's claims for material defects are limited to the claims that the contractor has against the respective supplier.<\/li>\n
              4. Liability for hidden material defects of purchased parts is excluded, to the extent permitted by law.<\/li>\n<\/ol>\n

                \u00a7 7 Warranty for Installation Services<\/strong><\/p>\n

                  \n
                1. Romotech GmbH warrants that assembly services performed will be carried out professionally, in accordance with recognized engineering standards, and with the necessary care.<\/li>\n
                2. Defects must be reported in writing without delay upon discovery.<\/li>\n
                3. The contractor shall first have the right to remedy.<\/li>\n
                4. If the rework is unsuccessful, the client can assert their legal rights.<\/li>\n<\/ol>\n

                  \u00a7 8 Special Regulations for Repair Work<\/strong><\/p>\n

                    \n
                  1. In the event of repairs, restoration, and maintenance work, Romotech GmbH exclusively assumes responsibility for the professional execution of the specifically commissioned work.<\/li>\n
                  2. No warranty is provided for pre-existing damage, signs of wear and tear, old installations, foreign materials, or unprocessed system parts.<\/li>\n
                  3. The contractor is not liable for ensuring that the overall system remains free of defects permanently or functional for a specific period of time as a result of the repair.<\/li>\n
                  4. A guarantee of success is expressly excluded unless otherwise agreed in writing.<\/li>\n<\/ol>\n

                    \u00a7 9 Liability<\/strong><\/p>\n

                      \n
                    1. The contractor is liable without limitation in cases of intent and gross negligence.<\/li>\n
                    2. In cases of slight negligence, the contractor is only liable for breach of essential contractual obligations and is limited to the contract-typical, foreseeable damage.<\/li>\n
                    3. Liability for production downtime, business interruption, loss of profit, or consequential damages is excluded to the extent permitted by law.<\/li>\n
                    4. The limitations of liability do not apply to damages arising from injury to life, body, or health.<\/li>\n<\/ol>\n

                      \u00a7 10 Dates and Deadlines<\/strong><\/p>\n

                        \n
                      1. Delivery and performance deadlines are only binding if they have been confirmed in writing.<\/li>\n
                      2. Force majeure, material shortages, official measures, strikes, or other unforeseeable events shall appropriately extend agreed-upon deadlines.<\/li>\n<\/ol>\n

                        \u00a7 11 Retention of Title<\/strong><\/p>\n

                          \n
                        1. Delivered goods remain the property of Romotech GmbH until full payment of all claims.<\/li>\n
                        2. The client is obligated to treat the reserved goods with care.<\/li>\n<\/ol>\n

                          \u00a7 12 Jurisdiction and Applicable Law<\/strong><\/p>\n

                            \n
                          1. Only the law of the Federal Republic of Germany shall apply.<\/li>\n
                          2. The place of jurisdiction for all disputes, as far as legally permissible, shall be the registered office of Romotech GmbH.<\/li>\n
                          3. The place of performance is the registered office of Romotech GmbH.<\/li>\n<\/ol>\n

                            \u00a7 13 Severability Clause<\/strong><\/p>\n

                            Should individual provisions of these General Terms and Conditions be or become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected. The parties undertake to replace the invalid provision with a legally permissible provision that comes closest to the economic purpose.<\/p>\n

                            Supplementary General Terms and Conditions of Romotech GmbH<\/strong><\/p>\n

                            \u00a7 14 Applicability of VOB\/B<\/strong><\/p>\n

                              \n
                            1. If the client is a contractor, a legal entity under public law, or a special fund under public law, the Standard Terms and Conditions of Austrian Procurement and Contract Terms for Construction Works, Part B (VOB\/B), in the version valid at the time of contract conclusion, shall become part of the contract.<\/li>\n
                            2. To the extent that the provisions of these General Terms and Conditions deviate from the VOB\/B, the provisions of these General Terms and Conditions shall take precedence, provided this is legally permissible.<\/li>\n<\/ol>\n

                              \u00a7 15 Acceptance of Services<\/strong><\/p>\n

                                \n
                              1. Upon completion of the services, the client is obligated to accept them immediately.<\/li>\n
                              2. If acceptance or written notification of substantial defects does not occur within 12 business days of written notification of completion, the service shall be deemed accepted.<\/li>\n
                              3. The performance shall also be deemed accepted as soon as it is put into operation, used, further processed, or integrated into the overall system by the client or a third party.<\/li>\n
                              4. Minor defects do not entitle the buyer to refuse acceptance.<\/li>\n
                              5. With acceptance, the risk transfers to the client.<\/li>\n<\/ol>\n

                                \u00a7 16 Safety and Operating Conditions (SCC)<\/strong><\/p>\n

                                  \n
                                1. The client is obligated to provide all safety regulations, operating instructions, risk assessments, and access requirements in a timely manner.<\/li>\n
                                2. Delays or additional costs due to missing safety documents, missing permits, or insufficient site preparation shall be borne exclusively by the client.<\/li>\n
                                3. Waiting times, safety instructions, access controls, downtime, as well as regulatory or operational requirements will be remunerated separately.<\/li>\n
                                4. The contractor is not liable for production losses, operational disruptions, or consequential damages caused by safety measures or instructions from the client.<\/li>\n<\/ol>\n

                                  \u00a7 17 Scope of Warranty<\/strong><\/p>\n

                                    \n
                                  1. The warranty is limited exclusively to the services performed by Romotech GmbH itself.<\/li>\n
                                  2. No liability is assumed for the client's plans, calculations, designs, material specifications, or technical specifications.<\/li>\n
                                  3. Warranty is void in case of:\n
                                      \n
                                    • improper use,<\/li>\n
                                    • faulty maintenance,<\/li>\n
                                    • Changes by third parties,<\/li>\n
                                    • chemical, thermal, or mechanical overuse,<\/li>\n
                                    • natural wear and tear,<\/li>\n
                                    • unsuitable operating conditions.<\/li>\n<\/ul>\n<\/li>\n
                                    • After acceptance, the client bears the burden of proof for the existence of a defect.<\/li>\n<\/ol>\n

                                      \u00a7 18 Limitation of Liability<\/strong><\/p>\n

                                        \n
                                      1. Romotech GmbH\u2019s total liability arising from an order is limited to the net order amount of the respective individual order.<\/li>\n
                                      2. No liability is assumed for consequential damages.<\/li>\n
                                      3. In particular, claims arising from the following are excluded:\n
                                          \n
                                        • Production downtime,<\/li>\n
                                        • Business interruption,<\/li>\n
                                        • Downtime costs,<\/li>\n
                                        • Loss of use,<\/li>\n
                                        • lost profits,<\/li>\n
                                        • Contractual penalties imposed by third parties,<\/li>\n
                                        • consequential damages,<\/li>\n
                                        • Property damage.<\/li>\n<\/ul>\n<\/li>\n
                                        • The contractor shall not be liable for damages to existing balconies, existing installations, or adjacent building components, unless these damages are directly caused by intentional or grossly negligent conduct.<\/li>\n
                                        • Liability for the tightness, functionality, or operational safety of existing systems is not assumed, unless this is expressly part of the contract.<\/li>\n<\/ol>\n

                                          \u00a7 19 Exemption<\/strong><\/p>\n

                                            \n
                                          1. The client shall indemnify Romotech GmbH from all third-party claims arising from specifications, plans, drawings, material specifications, or instructions provided by the client.<\/li>\n
                                          2. The indemnification also includes legal prosecution and attorneys' fees.<\/li>\n<\/ol>\n

                                            \u00a7 20 Material Provision and Own Material<\/strong><\/p>\n

                                              \n
                                            1. No warranty is provided for materials, components, piping, containers, or parts supplied by the client.<\/li>\n
                                            2. The contractor only checks provided material for obvious defects.<\/li>\n
                                            3. Damage or consequential damage, caused by customer-supplied material, shall be borne exclusively by the client.<\/li>\n<\/ol>\n

                                              \u00a7 21 Supplements and Additional Services<\/strong><\/p>\n

                                                \n
                                              1. All services not expressly offered are considered additional services and will be charged separately.<\/li>\n
                                              2. Oral instructions from construction managers, project managers, or other authorized representatives of the client shall be considered authorized, provided they concern execution.<\/li>\n
                                              3. Obstacles, waiting times, downtimes, additional safety requirements, coordination of third-party companies, or changes in execution justify separate compensation.<\/li>\n<\/ol>\n

                                                \u00a7 22 Statute of Limitations<\/strong><\/p>\n

                                                  \n
                                                1. Claims of the client due to defects become time-barred within 12 months of acceptance for repair, maintenance, and servicing work.<\/li>\n
                                                2. For pure repair services, the warranty is limited exclusively to the repaired area.<\/li>\n
                                                3. Further claims are excluded to the extent legally permissible.<\/li>\n<\/ol>\n

                                                  \u00a7 23 Written Form<\/strong><\/p>\n

                                                  Amendments, additions, or collateral agreements require written form for their validity. This also applies to the waiver of the written form requirement.<\/p>\n

                                                  \u00a7 24 Place of Jurisdiction<\/strong><\/p>\n

                                                  The exclusive place of jurisdiction for all disputes arising from or in connection with the contractual relationship is Hanau, insofar as this is legally permissible.<\/p>\n

                                                  \u00a7 25 Hierarchy of Contract Documents<\/strong><\/p>\n

                                                  In case of contradictions, the following hierarchy applies:<\/p>\n

                                                    \n
                                                  1. Individual Contract \/ Order Confirmation<\/li>\n
                                                  2. Addenda<\/li>\n
                                                  3. These terms and conditions<\/li>\n
                                                  4. VOB\/B<\/li>\n
                                                  5. Other contractual documents of the client<\/li>\n<\/ol>\n

                                                    The customer's deviating purchasing conditions are expressly excluded.<\/p>\n

                                                    \u00a7 26 Assembly according to external planning and customer specifications<\/strong><\/p>\n

                                                      \n
                                                    1. Unless otherwise expressly agreed upon in writing, the services of Romotech GmbH are exclusively limited to the professional execution of the commissioned assembly, welding, repair, and service work.<\/li>\n
                                                    2. Romotech GmbH does not assume any planning, design, engineering, calculation, structural, process, or engineering services.<\/li>\n
                                                    3. In particular, Romotech GmbH assumes no responsibility or liability for:\n
                                                        \n
                                                      • technical drawings,<\/li>\n
                                                      • Isometries,<\/li>\n
                                                      • Piping plans,<\/li>\n
                                                      • Flowcharts,<\/li>\n
                                                      • Construction documents,<\/li>\n
                                                      • Bill of materials,<\/li>\n
                                                      • Material specifications,<\/li>\n
                                                      • Sizing,<\/li>\n
                                                      • Wall thicknesses,<\/li>\n
                                                      • Print stages,<\/li>\n
                                                      • Temperature resistances,<\/li>\n
                                                      • Media resistance,<\/li>\n
                                                      • Statics,<\/li>\n
                                                      • Structural calculations,<\/li>\n
                                                      • Fastening concepts,<\/li>\n
                                                      • Facility concepts,<\/li>\n
                                                      • Approvals,<\/li>\n
                                                      • Suitability for the intended purpose.<\/li>\n<\/ul>\n<\/li>\n
                                                      • All of the aforementioned details are considered to have been reviewed and approved by the client. Romotech GmbH is not obligated to technically, statically, chemically, or process engineer these details.<\/li>\n
                                                      • Romotech GmbH is solely responsible for the artisanally proper execution of the commissioned work in accordance with the recognized rules of technology.<\/li>\n
                                                      • A warranty or liability for the functionality, performance, cost-effectiveness, productivity, approvability, or overall success of a plant is expressly excluded.<\/li>\n
                                                      • Responsibility for the technical suitability of the planning, construction, material selection, and plant design remains exclusively with the client or their planner, engineering firm, or plant constructor.<\/li>\n
                                                      • If Romotech GmbH processes materials, components, or constructions at the client's request, even though Romotech GmbH has pointed out possible risks, the execution is carried out exclusively at the client's risk.<\/li>\n
                                                      • Romotech GmbH shall not be liable for damages, consequential damages, production losses, operational interruptions, environmental damage, property damage, or financial losses that are directly or indirectly attributable to faulty planning, calculations, material specifications, or customer specifications.<\/li>\n
                                                      • The client shall indemnify Romotech GmbH against all third-party claims arising from design, construction, engineering, or material specifications provided by the client or its agents.<\/li>\n<\/ol>\n

                                                        \u00a7 27 Liability Cap<\/strong><\/p>\n

                                                          \n
                                                        1. To the maximum extent permitted by law, Romotech GmbH's total liability for all claims arising from an order is limited to the insurance sum actually covered by the business liability insurance.<\/li>\n
                                                        2. Irrespective of this, Romotech GmbH's liability is limited to a maximum of the net order value of the respective individual order.<\/li>\n
                                                        3. The lower amount is decisive.<\/li>\n
                                                        4. The foregoing limitations of liability shall not apply in cases of intent, gross negligence, or damages resulting from injury to life, body, or health.<\/li>\n<\/ol>\n

                                                          \u00a7 28 Pressure Tests, Leak Tests, and Commissioning<\/strong><\/p>\n

                                                            \n
                                                          1. Pressure tests, leak tests, functional tests, acceptance tests, commissioning, and process approvals are not part of the scope of services unless expressly commissioned in writing.<\/li>\n
                                                          2. If such services are carried out at the client's request, they will be performed strictly in accordance with the technical specifications provided by the client.<\/li>\n
                                                          3. The responsibility for test media, test pressure, test duration, safety measures, and the suitability of the overall system remains with the client.<\/li>\n
                                                          4. The successful completion of an inspection or commissioning does not guarantee the permanent tightness, functionality, or operational safety of the overall system.<\/li>\n<\/ol>\n

                                                            \u00a7 29 Exclusion of Quality and Performance Guarantees<\/strong><\/p>\n

                                                              \n
                                                            1. Statements, technical advice, recommendations, or support from employees of Romotech GmbH do not constitute a guarantee, agreement on quality, or warranted property.<\/li>\n
                                                            2. Guarantees or assurances require the express written declaration of the management to be effective.<\/li>\n
                                                            3. Romotech GmbH is not fundamentally liable for contractual success, but solely for the professional execution of the commissioned services, insofar as this is legally permissible.<\/li>\n<\/ol>\n

                                                              \u00a7 30 Duty to Investigate and Give Notice of Defects<\/strong><\/p>\n

                                                                \n
                                                              1. The client is obligated to examine all deliveries and services immediately upon receipt or after completion of the work.<\/li>\n
                                                              2. Obvious defects, quantity deviations, or other complaints must be reported in writing within 5 working days of handover, acceptance, or commissioning at the latest.<\/li>\n
                                                              3. Latent defects must be reported in writing immediately, but no later than 5 working days after their discovery.<\/li>\n
                                                              4. If no.<\/li>\n
                                                              5. Payments may only be withheld to an appropriate extent due to alleged defects.<\/li>\n<\/ol>\n

                                                                \u00a7 31 Documentation and Evidentiary Effect<\/strong><\/p>\n

                                                                  \n
                                                                1. Assembly reports, construction daily reports, welding logs, test reports, take-offs, timesheets, photo documentation, digital construction site documentation, and other proof of performance by Romotech GmbH are considered accurate evidence of the nature, scope, and proper execution of the services.<\/li>\n
                                                                2. These documents.<\/li>\n
                                                                3. Electronically submitted documents, emails, digital daily construction reports, and digital approvals are equivalent to written documents.<\/li>\n
                                                                4. Timesheets, performance records, or installation reports signed by the client are binding for both parties.<\/li>\n<\/ol>\n

                                                                  \u00a7 32 Hourly Wage Work<\/strong><\/p>\n

                                                                    \n
                                                                  1. Unless services are agreed upon as a flat rate, billing will be based on actual time and material costs.<\/li>\n
                                                                  2. Started working hours are rounded up to the nearest half hour.<\/li>\n
                                                                  3. Travel time, waiting time, setup time, safety briefings, access controls, material procurement, documentation effort, and construction site-related interruptions are considered compensable working time.<\/li>\n
                                                                  4. If the execution of the work is hindered or interrupted by circumstances beyond the client's control, the claim for remuneration remains unaffected.<\/li>\n<\/ol>\n

                                                                    \u00a7 33 Hindrances and Downtime<\/strong><\/p>\n

                                                                      \n
                                                                    1. Delays, waiting times, or stoppages not caused by Romotech GmbH will be charged separately.<\/li>\n
                                                                    2. These include, in particular:\n
                                                                        \n
                                                                      • missing approvals,<\/li>\n
                                                                      • Missing materials,<\/li>\n
                                                                      • Delays from other trades,<\/li>\n
                                                                      • lack of accessibility,<\/li>\n
                                                                      • production stoppages,<\/li>\n
                                                                      • Security clearances,<\/li>\n
                                                                      • Approvals,<\/li>\n
                                                                      • Weathering,<\/li>\n
                                                                      • Power, water, or utility outages.<\/li>\n<\/ul>\n<\/li>\n
                                                                      • The client bears any additional costs incurred.<\/li>\n<\/ol>\n

                                                                        \u00a7 34 Addenda and Performance Changes<\/strong><\/p>\n

                                                                          \n
                                                                        1. Changes to the scope of performance entitle Romotech GmbH to adjust compensation, performance periods, and deadlines.<\/li>\n
                                                                        2. Verbal instructions from project managers, construction managers, operations managers, or other authorized representatives of the client shall be considered additional work.<\/li>\n
                                                                        3. If the remuneration for a change order cannot be definitively determined before execution, it will be invoiced based on actual costs.<\/li>\n<\/ol>\n

                                                                          \u00a7 35 Passing of risk<\/strong><\/p>\n

                                                                            \n
                                                                          1. The risk passes to the client at the latest upon acceptance, commissioning, use, or handover of the service.<\/li>\n
                                                                          2. This also applies if there are still outstanding tasks or minor defects.<\/li>\n
                                                                          3. If the acceptance is delayed for reasons for which Romotech GmbH is not responsible, the risk shall pass to the client upon notification of completion.<\/li>\n<\/ol>\n

                                                                            \u00a7 36 Ownership of Tools and Devices<\/strong><\/p>\n

                                                                              \n
                                                                            1. All tools, welding fixtures, assembly aids, drawings, calculations, documentation, and manufacturing documents used by Romotech GmbH remain the property of Romotech GmbH.<\/li>\n
                                                                            2. A release or transfer is only made based on an express written agreement.<\/li>\n<\/ol>\n

                                                                              \u00a7 37 Set-off and Retention<\/strong><\/p>\n

                                                                                \n
                                                                              1. The customer is only entitled to offset undisputed claims or claims that have been legally established.<\/li>\n
                                                                              2. Rights of retention can only be asserted from the same contractual relationship.<\/li>\n<\/ol>\n

                                                                                \u00a7 38 Force Majeure<\/strong><\/p>\n

                                                                                  \n
                                                                                1. Force majeure events shall relieve Romotech GmbH of its performance obligations for the duration of the disruption and its effects.<\/li>\n
                                                                                2. The following are considered force majeure:\n
                                                                                    \n
                                                                                  • Natural events,<\/li>\n
                                                                                  • Fire,<\/li>\n
                                                                                  • Floods,<\/li>\n
                                                                                  • Pandemics,<\/li>\n
                                                                                  • Epidemics,<\/li>\n
                                                                                  • Strikes,<\/li>\n
                                                                                  • Lockouts,<\/li>\n
                                                                                  • official measures,<\/li>\n
                                                                                  • Material shortages,<\/li>\n
                                                                                  • Energy shortages,<\/li>\n
                                                                                  • Transportation disruptions.<\/li>\n<\/ul>\n<\/li>\n
                                                                                  • Claims for damages by the client are excluded in these cases.<\/li>\n<\/ol>\n

                                                                                    \u00a7 39 Final Provisions<\/strong><\/p>\n

                                                                                      \n
                                                                                    1. The place of performance for all services and payments is the registered office of Romotech GmbH.<\/li>\n
                                                                                    2. The exclusive place of jurisdiction is Hanau, insofar as legally permissible.<\/li>\n
                                                                                    3. German law shall apply exclusively, to the exclusion of the UN Convention on Contracts for the International Sale of Goods.<\/li>\n
                                                                                    4. Should a provision of these General Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.<\/li>\n<\/ol>\n

                                                                                       <\/p>\n
